Welcome to Zenveus. These Terms of Service ("Terms") govern your access to and use of the website located at zenveus.com (the "Site") and the services described on it.
The Site is operated by Zenveus LLC, a limited liability company registered in Arizona, United States, with development and delivery operations conducted through its team in Pakistan (collectively, "Zenveus," "we," "us," or "our"). Zenveus LLC is the contracting party under these Terms.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. What We Do
Zenveus is a software agency providing custom software development and software resource augmentation services – supplying vetted engineering talent and development capacity to client teams ("Services"). The Site describes these Services, allows you to contact us, and offers downloadable resources and email content (see Section 4).
The Site itself is informational. Engagements for Services are governed by separate written agreements (such as a statement of work, master services agreement, or staffing agreement) signed between Zenveus and the client. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls with respect to those Services.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to engage our Services or submit information through the Site on behalf of a business. By using the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
- Scrape, harvest, or collect information from the Site by automated means without our prior written consent;
- Interfere with or disrupt the Site's operation, including by transmitting malware, spam, or excessive automated requests;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Reproduce, resell, or commercially exploit any part of the Site or its content except as expressly permitted.
We may suspend or terminate your access to the Site at our discretion if we believe you have violated these Terms.
4. Lead Magnets, Downloads, and Email Communications
Parts of the Site offer free resources (guides, templates, checklists, or similar materials) in exchange for your email address. By submitting your email:
- You confirm the information you provide is accurate and belongs to you;
- You consent to receive the requested resource and related email communications from us, in accordance with our Privacy Policy;
- You may unsubscribe at any time using the link in any email or by contacting us at contact@zenveus.com.
Free resources are provided for your own business or personal use. You may not resell or redistribute them as your own.
5. Intellectual Property
The Site and its contents – including text, graphics, logos, design, downloadable resources, and code – are owned by or licensed to Zenveus and are protected by copyright, trademark, and other intellectual property laws. "Zenveus" and associated logos are trademarks of Zenveus LLC.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its free resources for their intended purpose. No other rights are granted. Ownership of work product created under a client engagement is governed by the applicable signed services agreement, not these Terms.
6. Feedback
If you send us ideas, suggestions, or feedback about the Site or our Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation to you.
7. Third-Party Links and Services
The Site may contain links to third-party websites or services (for example, scheduling tools, portfolio links, or social media). We do not control and are not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk and subject to their terms.
8. Disclaimers
THE SITE AND ALL CONTENT AND FREE RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Content on the Site – including blog posts, guides, and resources – is for general informational purposes only and does not constitute professional, legal, or technical advice for your specific situation. We do not warrant that the Site will be uninterrupted, error-free, or secure.
This Section does not limit any warranties expressly set out in a signed services agreement.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENVEUS AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES – INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION – ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100). LIABILITY ARISING UNDER A SIGNED SERVICES AGREEMENT IS GOVERNED BY THAT AGREEMENT.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Zenveus from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms or your misuse of the Site.
11. Changes to the Site and These Terms
We may modify or discontinue the Site (or any part of it) at any time. We may also update these Terms from time to time. The "Last updated" date above reflects the current version. Material changes will be indicated by updating that date and, where practical, by posting a notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or your use of the Site will be resolved in the state or federal courts located in Maricopa County, Arizona (Phoenix), and you consent to their jurisdiction.
Nothing in this Section prevents either party from seeking injunctive relief in any court of competent jurisdiction, and disputes under a signed services agreement follow the dispute-resolution terms of that agreement.
13. General
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Zenveus regarding the Site.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
